These Terms set the conditions under which you may access and use Waybeam demos, pilots, and services.

Agreement overview

  • These Terms govern use of the Waybeam website, demos, pilots, and any pre-release features (the “Service”). By accessing the Service, you accept these Terms on behalf of yourself or your organisation.

Eligibility & accounts

  • You must be at least 18 and able to form a binding contract. Information you provide must be accurate and kept up to date.
  • You are responsible for safeguarding credentials and for all activity under your account.

Acceptable use

  • Do not use the Service to violate law, infringe rights, or transmit harmful, deceptive, or discriminatory content.
  • No probing, scraping, bypassing security, reverse engineering, or reselling without written permission.
  • You warrant you have the rights and consents needed for any content you upload or process.

Trials, fees & orders

  • Paid use is governed by your order form or master services agreement (if any). Where none exists, trials/betas are for evaluation only and may change or end at any time.
  • Fees (if applicable) are due as stated in the order and are non-refundable except as required by law.

Customer content & licence

  • You retain ownership of your prompts, files, and other content (“Customer Content”).
  • You grant Waybeam a worldwide, non-exclusive, royalty-free licence to host and process Customer Content solely to provide and secure the Service. We may use de‑identified usage metrics to improve quality and safety.

Platform IP

  • Waybeam and its licensors retain all rights in the Service, documentation, and updates. No rights are granted except as expressly stated.

Confidentiality

  • Each party will protect the other’s non-public information with reasonable safeguards and use it only to provide or evaluate the Service.

AI outputs & third-party services

  • AI outputs are probabilistic and may be inaccurate or incomplete. You must review outputs and are solely responsible for their use.
  • The Service may integrate third-party models/APIs; their terms may apply. Waybeam is not responsible for third-party services.

Availability & changes

  • We may modify, suspend, or discontinue features. Where practicable, we may provide notice of material changes.

Disclaimers

  • The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Waybeam disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • No professional advice is provided through the Service.

Limitation of liability

  • To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
  • Waybeam does not accept liability for harm from AI outputs or third-party services.
  • Waybeam's total liability for direct damages is limited to the fees paid in the prior 12 months.

Indemnity

  • You will defend and indemnify Waybeam against claims arising from your Customer Content, your use of the Service in breach of these Terms or law, or your combination of the Service with non-Waybeam products.

Term & termination

  • You may stop using the Service at any time. We may suspend or terminate access for breach, security risk, or inactivity, with reasonable notice where practicable.
  • Upon termination we may delete Customer Content after a reasonable period. Sections on IP, confidentiality, disclaimers, liability limits, indemnity, and governing law survive.

Governing law

  • These Terms are governed by the laws of New South Wales, Australia. The courts of Sydney, NSW have exclusive jurisdiction, excluding conflict-of-laws rules.

Miscellaneous

  • These Terms are the entire agreement for the Service (unless a signed master services agreement applies, which controls in case of conflict).
  • No waiver unless in writing; severability applies. Neither party may assign without consent except in a reorganisation or sale. Force majeure applies. Export and sanctions laws may restrict use.
  • We may update these Terms. Material changes will be notified in-product or on our site. Continued use after the effective date constitutes acceptance.
